Terms of Service

These Terms of Service ("Terms") govern your access to and use of HAIEC Inc.'s ("HAIEC," "we," "us," or "our") AI governance platform, APIs, documentation, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our APIs, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

HAIEC provides AI governance tools and APIs including but not limited to:

• Bias Detection APIs: Real-time analysis of AI outputs for potential bias
• Compliance Monitoring: Tools for tracking AI system compliance with regulations
• Behavioral Auditing: Analysis of AI system behavior patterns and drift detection
• Documentation Tools: Templates and frameworks for AI governance documentation
• Assessment Tools: AI readiness and compliance assessments

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

4. Fees and Payment

Pricing

Fees for our Services are described on our pricing page. We may change our fees upon 30 days' notice. Continued use after a fee change constitutes acceptance.

Payment Terms

• Payments are processed through Stripe
• Subscription fees are billed in advance
• Usage-based fees are billed monthly in arrears
• All fees are non-refundable except as required by law

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until then.

5. Your Data

Ownership

You retain all rights to data you submit to our Services ("Your Data"). We do not claim ownership of Your Data.

License to HAIEC

You grant us a limited license to process Your Data solely to provide the Services. This license terminates when you delete Your Data or close your account.

Data Processing

We process Your Data in accordance with our Privacy Policy. We do not use Your Data to train AI models or share it with other customers.

6. API Usage

Rate Limits

API usage is subject to rate limits based on your subscription tier. Exceeding rate limits may result in throttling or temporary suspension.

API Keys

You are responsible for securing your API keys. Do not share keys or embed them in client-side code. Notify us immediately if you suspect key compromise.

7. Prohibited Uses

You agree not to:

• Use the Services for any illegal purpose
• Attempt to reverse engineer, decompile, or extract source code
• Circumvent rate limits or access controls
• Resell or redistribute the Services without authorization
• Use the Services to develop competing products
• Submit malicious code or attempt to compromise our systems
• Misrepresent HAIEC outputs as legal advice or regulatory certification

8. Intellectual Property

HAIEC retains all rights to the Services, including our APIs, documentation, frameworks (such as CSM6), and all related intellectual property. These Terms do not grant you any rights to our trademarks or branding.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM

10. Indemnification

You agree to indemnify and hold harmless HAIEC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Services ceases, and we may delete Your Data after a reasonable retention period.

12. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA. Any disputes shall be resolved through binding arbitration in accordance with the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in court.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Services. Continued use after changes constitutes acceptance. If you disagree with changes, you may terminate your account.

14. Enterprise Customers

Enterprise customers may have separate Master Service Agreements (MSAs) that supersede these Terms. In case of conflict, the MSA governs.
